The VP, M&A Legal will primarily support the Company’s M&A function by overseeing all the legal and regulatory issues to be addressed in any M&A process. He/she will work closely with the members of the M&A team assisting them on day-to-day M&A activities in co-ordination with the Company’s senior management including the SVP, Legal. The role’s three main functions are i) the management of legal and regulatory due diligence of target acquisition opportunities, ii) the review and negotiation of transaction documents and iii) as relevant, the management of external law firms advising the Company.

Essential Job Functions

  • Lead the day-to-day execution of the legal and regulatory aspect of all M&A processes
  • Oversee the legal and regulatory due diligence related to any acquisition targets including the review of existing commercial, supplier and lease contractual agreements, permits and litigation.
  • Develop, mark up and negotiate key transaction documents including share or asset purchase agreements, master lease agreements, site management agreements, etc.
  • Manage external international or local law firms as relevant to finalise all the M&A related documentation
  • Hire external law firms after defining the terms of their engagement and negotiating fees
  • Play a strategic role in maintaining in-depth understanding of the business’ investments and endeavors
  • Collaborate with senior management and legal departments to define company strategic direction, culture and decision making
  • Perform all relevant tasks as assigned by the EVP, Finance and M&A

Key Abilities

  • Excellent analytical skills backed by in-depth experience of drafting and reviewing M&A legal documentation
  • Exceptional written communication skills in English as it relates in particular to legal drafting
  • Ability to guide internal counterparties and oversee external law firms on key legal and regulatory issues through relevant prioritization
  • Excellent presentation skills when conveying reviews and recommendations to senior management for final decision making
  • Strong commercial skills to facilitate successful deal-related negotiations thereby improving the chance of successful deal closure and seamless integration
  • Great interpersonal skills and the ability to form meaningful relationships with stakeholders and to influence top business leadership
  • Negotiation skills aimed at ensuring legal services are provided on the right value for money basis

Professional Experience

  • Minimum of five (5) years of corporate finance legal experience, preferably from tier 1 law firms
  • Minimum of three (3) years of experience in the wireless telecommunication market

Education & Certifications

  • Bachelor’s Degree in Law or a related field
  • Master’s degree preferred

Other Requirements

  • Fluency (both oral and written) in English; fluency in Arabic a plus
  • Proficiency in Microsoft Office products such as Excel, Word, and PowerPoint
